Terms of Service

The terms for using our website and working with Soy-Ops.

Last updated October 20, 2026

About these terms

These terms govern your use of soy-ops.com and the services provided by SoyOperations, LLC ("Soy-Ops", "we", "us"). If you use our services for a business, you accept these terms on its behalf and confirm you are authorised to do so.

Each engagement is described in a quote, order form or statement of work ("Order"). If an Order or a signed agreement conflicts with these terms, the Order or agreement wins.

Our services

  • SoyShop: an online storefront, owner portal and WhatsApp order updates, sold with SoyPaq fulfilment.
  • SoyPaq: fulfilment from our own warehouse, including receiving, storage, pick, pack and ship.
  • Implementation: setting up, connecting and running third-party vendor platforms on your behalf.
  • Custom builds: software we build to a scope agreed in an Order.

Discovery comes with no obligation to buy. Anything we describe as scoped per client is provided only when an Order includes it.

Accounts and access

Owner portal access is by invitation. You are responsible for the people you invite, for keeping access limited to them and for telling us promptly when someone should be removed or when you suspect unauthorised access.

Your responsibilities

  • Give us accurate information about your products, stock, orders and business.
  • Sell only lawful products, and tell us in advance about anything hazardous, regulated, perishable or high-value. We may decline to store or ship goods we cannot handle safely or lawfully.
  • Follow the laws that apply to your business, including consumer, tax, privacy and marketing laws.
  • Make sure you have the right to share any personal information you give us, and that buyers have agreed to any messages we send for you.

SoyShop payments

Your business is the merchant for every SoyShop sale. Buyers pay you through Stripe, on a Stripe account connected in your name, and Stripe's terms for connected accounts apply to it. We never hold buyer funds. You are responsible for your prices, refunds, chargebacks, customer service and sales tax, which is calculated through Stripe on your account.

SoyPaq fulfilment

  • Tell us about inbound shipments before they arrive. We count and check stock on receipt and set damaged items aside, where they are not counted as sellable.
  • Shipping labels are bought at the carrier rate and passed through at cost, unless you use your own carrier accounts.
  • Delivery times are set by carriers and are not guaranteed by us. Carrier loss or damage claims follow each carrier's terms, and we will help you file them.
  • Our responsibility for stock in our care, and any limits on it, are set out in your Order. We recommend you insure your inventory.
  • When a SoyPaq engagement ends, we release your stock for collection or onward shipment once outstanding invoices are paid.

Third-party vendors

Our services use third-party platforms, which we name in your plan. Their own terms apply to your use of them. Vendor accounts are either your own, in which case you pay the vendor directly, or ours, in which case we pass usage through at cost. We are not responsible for a vendor's outages, changes or pricing, and we are not an official partner of any vendor unless we say so in writing.

Fees and billing

Fees are set in your Order. We invoice monthly with every charge itemised, and invoices are due within 15 days unless your Order says otherwise. You can pay online or by bank debit. Fees do not include taxes, which we add where required. If an invoice is more than 15 days overdue, we may pause services after giving you written notice.

Your data and our software

You own your business data. You give us permission to use it only to provide and improve the services for you. We own our software, platforms and know-how, including SoyShop and SoyPaq. Custom builds are owned as set out in the Order. If you share feedback, we may use it without obligation to you.

Confidentiality

Each of us will keep the other's non-public information confidential, use it only for the engagement and share it only with people who need it and are bound to keep it confidential. This does not apply to information that is already public or that the law requires us to disclose.

Using our website

Do not misuse soy-ops.com. That includes trying to break its security, overloading it, scraping it at scale or submitting false information. Vendor names and logos belong to their owners and are shown only to identify the tools we work with.

Warranties and disclaimers

We provide our services with reasonable skill and care. Apart from that and anything stated in an Order, the website and services are provided "as is", and we disclaim all other warranties to the fullest extent the law allows, including warranties of merchantability, fitness for a particular purpose and uninterrupted operation.

Limitation of liability

To the fullest extent the law allows, neither of us is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data. Each party's total liability under these terms is limited to the fees paid to Soy-Ops in the 12 months before the claim arose. These limits do not apply to fraud, wilful misconduct, or your payment obligations.

Indemnity

You will defend us against third-party claims arising from your products, your instructions to us, or your breach of these terms or the law, and cover the resulting losses.

Term and termination

Services run for the term in your Order. Unless the Order says otherwise, either of us may end a monthly service with 30 days' written notice, and either of us may end an engagement immediately if the other seriously breaches these terms and does not fix it within 15 days of notice. When an engagement ends, you pay for services provided up to that date, and we return or delete your data as your Order sets out.

Governing law

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute will be heard by the state or federal courts in Florida, and both parties accept their jurisdiction.

Changes to these terms

We may update these terms. We will post the new version here with a new date and, for clients, give notice before significant changes take effect. Changes do not affect an Order already signed.
